Client Agreement for Hosting Elections/Contests on iSabiVote
This Agreement (“Agreement”) is entered into by and between User and iSabiVote
1. Services Provided
iSabiVote agrees to provide the following services to the Client:
- Hosting of elections/contests on the iSabiVote platform.
- Technical support and assistance for the duration of the event.
- Security measures to ensure the integrity and confidentiality of the voting process.
2. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information for the setup and administration of the event.
- Adhere to all applicable laws, regulations, and iSabiVote’s policies.
- Pay the agreed-upon fees in a timely manner.
3. Fees and Payment
The Client shall pay iSabiVote the fees specified in the Pricing Agreement, attached hereto as Exhibit A, within 7 days of the invoice date.
4. Data Protection
iSabiVote shall collect, process, and protect client data in accordance with applicable data protection laws and regulations. Client data will only be used for the purposes of hosting the event and will not be shared with third parties without prior consent.
5. Intellectual Property
All intellectual property rights related to the event, including logos, trademarks, and content, shall remain the property of the Client. iSabiVote may use Client’s intellectual property solely for the purpose of hosting the event.
6. Term and Termination
This Agreement shall commence on the Effective Date and continue until the completion of the event, unless terminated earlier by either party in accordance with the termination provisions set forth herein.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of this Agreement.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to this Agreement shall be resolved through arbitration in Osun State, Nigeria
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
